Terms & Conditions (T&C)

Welcome to Roamio (the "App"), a marketplace operated by TRIPESA ("we," "us," or "our"). These Terms & Conditions govern your access and use of our platform and services.

PLEASE READ THESE TERMS CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

I. General Terms (Applicable to All Users)

The following terms apply universally to all individuals and entities accessing or using the App, including Travelers and Service Providers.

1. Acceptance of Terms

By clicking "I Agree," creating an account, or otherwise accessing or using the App, you signify that you have read, understood, and agree to be legally bound by these Terms & Conditions, along with our Privacy Policy. If you do not agree with any part of these terms, you must not use or access the App.

2. The App's Role and Nature of Service (Crucial Disclaimer)

  1. Facilitator, Not Party to Contract: The App operates solely as a technology platform and marketplace intended to facilitate connections between Travelers (users seeking travel services) and Service Providers (third-party vendors offering travel services, such as tours, transfers, or experiences).
  2. No Agency Relationship: We are NOT a booking agent, travel agency, tour operator, or provider of the underlying travel services. We do not own, manage, control, or employ the Service Providers listed on our platform.
  3. Direct Contractual Relationship: When a Traveler and a Service Provider agree on a service, a legally binding contract is formed solely and directly between those two parties. We are not a party to that contract, and we assume no liability arising from or relating to it.

3. User Accounts and Security

To access certain features, you must register for an account. You agree to:

  1. Provide accurate, current, and complete information during registration and keep your account information updated.
  2. Maintain the confidentiality of your password and account details.
  3. Accept full responsibility for all activities that occur under your account.
  4. Notify us immediately if you suspect any unauthorized use of your account.

4. Intellectual Property and Content

  1. Our Rights: All content on the App (excluding User Content, defined below), including text, graphics, logos, software, and the compilation of the content, is our property or the property of our licensors and is protected by intellectual property laws.
  2. User Content (UGC): You are solely responsible for any data, text, photos, or other materials you submit or post ("User Content"). By posting UGC, you grant us a worldwide, royalty-free, perpetual, and irrevocable license to use, host, store, reproduce, modify, and display your UGC solely in connection with the operation of the App.

5. Prohibited Conduct

You agree not to use the App for any unlawful purpose or in any way that could damage or overburden the App. Prohibited activities include, but are not limited to:

  1. Fraudulent Activity: Submitting false or misleading information, pricing, or service claims.
  2. Circumvention: Attempting to book or transact directly with another user identified on the App to avoid paying any applicable fees to us.
  3. Content Abuse: Posting harassing, defamatory, or illegal content, or violating any third-party rights.
  4. System Abuse: Attempting to reverse engineer, scrape data, or introduce malware or viruses to the App.

6. Limitation of Liability and Disclaimers

  1. “As Is” Basis: The App and all content and services provided are offered on an "as is" and "as available" basis, without any warranties, express or implied.
  2. Service Provider Actions and Verification Scope: We are not responsible for the actions, errors, omissions, negligence, or breach of contract of any Service Provider or Traveler. While the App performs certain identity verification steps (e.g., checking company registration, IDs) for Service Providers, this process is strictly to confirm legitimacy and does not constitute an endorsement, certification, or warranty of the Provider’s service quality, safety, or compliance with applicable laws. You acknowledge that we have no control over the actual delivery or safety of the services offered by Providers.
  3. Maximum Liability: To the maximum extent permitted by law, our total liability to you for any and all claims arising out of or relating to these T&C or your use of the App will not exceed the greater of (i) the amount of fees you paid to us (if any) in the 12 months preceding the event giving rise to the claim, or (ii) One Hundred U.S. Dollars ($100).

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of Uganda without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Kampala, Uganda.

II. Specific Terms for Travelers

The following terms apply only to users who are accessing the App to seek, enquire about, or engage travel-related services ("Travelers").

1. Connecting and Contracting

  1. Lead Generation: The App’s primary service to you is generating connections and providing leads to suitable Service Providers based on your enquiry.
  2. Negotiation and Agreement: Any discussions, negotiations, or agreements (including final booking and service details) that occur after the initial connection are strictly between you and the Service Provider.
  3. Independent Due Diligence: We encourage and advise Travelers to exercise reasonable caution and conduct their own due diligence to verify the identity, suitability, licenses, and quality of any Service Provider before entering into a contract or making any payment.

2. Payments, Pricing, and Cancellations

  1. Payments to Providers: All payments for services, including deposits, final balances, and associated charges, are made directly to the Service Provider, not to the App, unless explicitly stated otherwise in writing by us.
  2. Pricing and Quote Accuracy: Prices are determined and communicated solely by the Service Provider directly to you, often via in-app chat or shared quotation documents. The App does not display, verify, or guarantee the accuracy of any pricing information or quotes provided by the Service Provider. The final, binding price and scope of work are determined exclusively by the formal agreement you reach directly with the Service Provider.
  3. Cancellation Policy: You are bound by the Service Provider's individual cancellation and refund policies, which must be agreed upon with the Provider. The App is not responsible for issuing or processing any refunds for cancelled bookings.

3. Reviews and Ratings

You may submit reviews and ratings of Service Providers. You agree that your reviews must be:

  1. Based on your genuine experience with the Service Provider.
  2. Honest, accurate, and factual, without any promotional or commercial bias.
  3. Free from discriminatory, abusive, or obscene language.

We reserve the right to remove any review that violates these terms or is deemed inappropriate or malicious.

III. Specific Terms for Service Providers

The following terms apply only to users who are registered to offer travel-related services through the App ("Service Providers").

1. Eligibility and Representations

  1. Professional Representation: By listing services, you warrant that you are a legitimate business, professional, or entity authorized to operate and provide the services you advertise.
  2. Compliance and Licensing: You must possess all necessary licenses, permits, insurance, and professional credentials required to operate legally and safely in your jurisdiction.
  3. Truthful Information: You represent and warrant that all information you provide to the App (including identity, experience, pricing, and availability) is true, accurate, and current.

2. Listing Accuracy and Content

  1. Responsibility for Content: You are solely responsible for the accuracy and completeness of all descriptions, images, pricing, and terms associated with your services ("listing/offers").
  2. Service Delivery: You agree to deliver the services exactly as described and promised in your Listing/offer and in your direct contract with the Traveler.
  3. Booking Acceptance: Once you accept a connection or booking request from a Traveler, you are obligated to honor the terms agreed upon with that Traveler.

3. Fees, Commissions, and Payment

  1. Commission Structure: You agree to pay us the designated commission rate or service fee as detailed in our Fees Schedule on any successful booking, transaction, or qualified lead generated through the App, as defined by us.
  2. Payment of Fees: You authorize us to invoice you or deduct the applicable fees and commissions from any gross receipts processed through or attributed to the App, if applicable. You remain responsible for timely payment of all fees regardless of Traveler non-payment or cancellation.

4. Provider Obligations

  1. Data Usage: You must only use Traveler personal data (such as contact information) obtained via the App to communicate with the Traveler regarding the specific service requested and to fulfill that service. You must comply with all applicable data protection laws (including GDPR and local laws) regarding the storage and processing of Traveler data.
  2. Dispute Resolution: You agree to handle all disputes, claims, and liability issues relating to the delivery of your service directly with the Traveler.
  3. Indemnity: You agree to indemnify and hold harmless the App against any losses, damages, or legal claims arising from your provision of services, your breach of these T&C, or your failure to comply with applicable laws.
